Description This note reviews the disqualification regime, with particular reference to unfitness, together with the standard of care, skill and diligence expected of directors. Emphasis is given to the position of non-executive directors especially in relation to their monitoring and supervisory roles. It therefore encompasses an overview of the relevant corporate governance proposals put forward by the various UK committees in so far as their recommendations, as reflected in the Combined Code, are aimed at putting content into the role occupied by non-executive directors.
